GENERAL TERMS OF SERVICE

1. Acceptance of These Terms

These General Terms of Service (“General Terms”) control access to and use of the OutThere platform (“Platform”).

The Platform lets users discover, arrange, book and manage English lessons and related activities involving Learners, Animators, Helpers, Assistants and venues.

By registering, submitting a form, maintaining a role, making or accepting a booking, or participating in a Platform activity, you agree to:

  1. these General Terms;
  2. the Role-Specific Terms for your role;
  3. the Booking and Cancellation Rules for your booking; and
  4. the Privacy Policy and other policies included in these Terms.

If you do not agree, do not use the Platform.

2. Indonesian Law

The Platform operates in Indonesia and follows Indonesian laws and regulations.

These Terms follow mandatory Indonesian laws, including those about electronic transactions, consumer protection, personal data, taxation, contracts and other regulations.

Nothing removes or restricts a legal right that cannot be lawfully excluded or restricted.

3. Platform Role

The Platform connects users and venues through technology and booking services.

Depending on the service, the Platform may handle:

  • lesson bookings;
  • venue bookings;
  • calendar management;
  • communications;
  • VOIP calls;
  • payments;
  • cancellations and refunds;
  • reviews and feedback;
  • participant coordination.

The Platform does not own venues and is not an employer of Animators, Helpers, Assistants or venue staff.

The legal relationship from a booking depends on the services and booking details.

4. User Roles

The Platform has these registered roles:

Animator — delivers the English lesson.

Learner — attends or books an English lesson.

Helper — participates in student-led activities, including VOIP speaking activities.

Owner — manages a participating venue and its bookable spaces.

Assistant — helps an Animator during a lesson.

A user can hold more than one role where allowed.

Each role has separate Role-Specific Terms.

5. Registration and Accurate Information

Users must provide accurate, complete and current information.

Users must not:

  • register under another person’s identity;
  • provide false information;
  • falsely claim qualifications or authority;
  • hide necessary information for safe participation.

The Platform may ask for extra information to verify identity, role, authority, safety, payment, venue details or compliance with law.

6. Calendar and Availability System

The Platform shows availability for:

  • Animators;
  • Learners;
  • Helpers;
  • Assistants;
  • venues;
  • venue spaces.

Availability information is part of the booking system.

Users who control availability must keep it accurate and current.

6.1 Accepted Availability

When a user marks a period as available, the Platform may allow another user to book it.

Users must not mark themselves or their resources as available if they cannot honour the booking.

6.2 Confirmed Bookings

Once a booking is confirmed, participants and resources must stay available unless the booking is properly cancelled or changed.

6.3 Conflicting Commitments

Users must not accept another commitment that conflicts with a confirmed booking.

For venue Owners, this includes independently booking a room to another customer.

For Animators, Helpers and Assistants, this includes accepting another commitment that prevents attending the confirmed lesson.

6.4 Availability Changes

If circumstances change, users must update their calendar promptly.

If a previously available period becomes unavailable, users should:

  1. update the calendar;
  2. avoid accepting further bookings;
  3. notify the Platform if an existing booking is affected.

7. Bookings

A booking may include:

  • Learner or Learners;
  • Animator;
  • Helper;
  • Assistant;
  • venue;
  • venue space;
  • date;
  • start time;
  • end time;
  • duration;
  • price;
  • applicable fees;
  • booking conditions.

A booking becomes binding according to the Platform’s confirmation status.

Users must check booking details promptly after confirmation.

8. Time and Location

Bookings use the applicable local date and time for the relevant venue.

Unless stated otherwise, physical venue bookings use the local time in Indonesia.

Users are responsible for checking the date, time and location in the booking.

9. Cancellation and Changes

Bookings may have specific cancellation periods and charges.

The applicable cancellation rules will be displayed or included in the booking process.

If a participant or venue cannot fulfil a booking, the Platform may:

  • arrange a replacement;
  • propose another time;
  • propose another venue;
  • cancel the booking;
  • provide a refund or credit where applicable.

The Platform does not guarantee a replacement will be available.

10. No-Shows and Late Arrival

Users are expected to attend at the booked time.

A no-show or late arrival may result in loss of part or all of the booked lesson time and may be subject to the applicable cancellation policy.

Repeated no-shows may result in restrictions on future bookings.

11. Venue Access

Physical lessons take place at participating venues.

Participants must follow reasonable venue rules concerning:

  • entry;
  • security;
  • opening hours;
  • occupancy;
  • food and beverages;
  • smoking;
  • noise;
  • property;
  • safety.

A venue may refuse access where there is a legitimate safety, security, capacity or conduct reason.

12. Venue Spaces and Capacity

A venue Owner is responsible for accurately specifying the spaces offered through the Platform and their maximum permitted capacity.

Users must not deliberately exceed the stated capacity.

The Platform may prevent or cancel a booking where the number of participants exceeds the available capacity.

13. Food and Beverage

Food and beverages provided by a venue are separate from the lesson unless expressly included in the booking.

Any advertised venue discount is subject to the conditions specified by the venue.

The Platform does not guarantee the availability or suitability of food or beverages supplied by an independent venue.

14. Payments

Where the Platform processes payments, the amount payable and applicable fees will be displayed before confirmation where reasonably practicable.

Payments may be processed by a third-party payment provider.

Users must not attempt to circumvent Platform payment mechanisms for the purpose of avoiding legitimate Platform fees.

Any applicable Indonesian tax obligations remain the responsibility of the person or entity legally responsible for the relevant transaction.

15. Consumer Protection

The Platform will provide material information concerning Platform services and bookings as required by applicable Indonesian law.

Nothing in these Terms is intended to exclude statutory consumer rights.

Where the Platform itself supplies a service to a consumer, applicable consumer protection obligations will be observed.

Where a service is supplied by an independent Animator or venue, the responsibilities of that supplier remain relevant to the particular transaction.

16. Personal Data

Personal data will be processed in accordance with the Platform’s Privacy Policy and applicable Indonesian personal-data protection law, including UU No. 27 Tahun 2022 concerning Personal Data Protection.

The Platform may process information reasonably necessary to:

  • create and manage accounts;
  • manage roles;
  • maintain calendars;
  • make and administer bookings;
  • communicate with participants;
  • process payments;
  • provide customer support;
  • maintain security;
  • prevent fraud and abuse;
  • comply with legal obligations.

Users must not obtain, copy or use another participant’s personal information for purposes unrelated to legitimate Platform activities.

17. Electronic Communications and VOIP

The Platform may use email, messaging, VOIP and other electronic communications to operate the service.

Users must use these systems lawfully and responsibly.

Users must not use Platform communications to:

  • harass;
  • threaten;
  • defraud;
  • impersonate;
  • solicit unlawfully;
  • distribute harmful material;
  • obtain unauthorised access to another person’s information.

18. Recording and Publication

Users must not record, reproduce, publish or distribute another person’s lesson, VOIP conversation, image, voice or personal information without appropriate permission and any consent required by law.

The Platform may establish separate rules concerning recordings made for training, quality assurance, security or other legitimate purposes.

19. Safeguarding

The Platform may introduce additional requirements where lessons involve children or other persons requiring additional protection.

Users must comply with all applicable safeguarding requirements.

Any suspected abuse, exploitation, harassment or serious safety issue should be reported promptly to the Platform and, where appropriate, the relevant authorities.

20. Prohibited Conduct

Users must not use the Platform for:

  • unlawful activity;
  • fraud;
  • harassment;
  • discrimination;
  • sexual exploitation;
  • abuse;
  • trafficking;
  • money laundering;
  • unauthorised commercial solicitation;
  • deliberate disruption of the Platform;
  • unauthorised access to systems;
  • false reviews;
  • manipulation of bookings or calendars.

21. Intellectual Property

The Platform’s software, design, trademarks, content and other intellectual property belong to the Platform operator or its licensors.

Users retain ownership of material they independently create but grant the Platform any limited rights reasonably necessary to operate the service.

22. Reviews

Reviews must be based on genuine experience.

Users must not:

  • submit fake reviews;
  • pay or offer benefits for misleading reviews;
  • threaten another user over a review;
  • deliberately manipulate ratings.

23. Suspension

The Platform may suspend or restrict an account where reasonably necessary to:

  • protect users;
  • protect venues;
  • investigate suspected fraud or abuse;
  • prevent misuse;
  • enforce these Terms;
  • comply with legal requirements.

Where reasonably practicable, the affected user will be informed of the reason.

24. Termination

A user may close their account subject to outstanding bookings, payment obligations and legal or record-retention requirements.

The Platform may terminate an account for serious or repeated violations of these Terms.

Termination does not automatically cancel obligations that arose before termination.

25. Complaints and Disputes

Users should first submit complaints through the Platform’s designated support mechanism.

The Platform will make reasonable efforts to resolve complaints fairly and promptly.

Where a dispute cannot be resolved informally, it will be handled according to applicable Indonesian law and the dispute-resolution procedure specified by the Platform.

26. Governing Law

These Terms are governed by the laws of the Republic of Indonesia.

Any mandatory rights or protections provided by Indonesian law remain applicable notwithstanding any other provision of these Terms.

27. Changes

The Platform may update these Terms.

Material changes will be communicated through the Platform or other appropriate means.

Where required, users may be required to accept the updated Terms before continuing to use particular services.

28. Severability

If any provision is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.

29. Entire Agreement

These General Terms, the applicable Role-Specific Terms, the applicable booking conditions and the Privacy Policy form the agreement governing the user’s use of the Platform, subject to mandatory applicable law.

30. Acceptance

By registering or using the Platform, the user confirms that they have read, understood and agreed to these General Terms of Service.
